General terms of sale

These general terms of sale (the “Terms”) apply to every paid analysis and every subscription taken on the Vybel website (the “Service”), published by OVO SAS (the “Seller”).

1. Seller

2. Purpose

These Terms govern how the Seller provides code analysis and the Vybel quality label to any person, acting in a professional capacity or not (the “Customer”). Any purchase or subscription implies full acceptance of these Terms, which the Customer acknowledges having read before paying.

3. Services

3.1 First analysis, free. The first analysis of each project is free and needs no account: a grade from A to E, the full report and the fix prompts.

3.2 Single analysis. Any new analysis of a project already analyzed is paid, with no account: €5.99 excl. VAT per analysis.

3.3 Vybel Pro. A monthly subscription per labeled project: daily analysis and an alert when the grade drops, a recap every Monday, the live badge, proof of repository ownership, and two on-demand analyses per month and per project, then €1.99 excl. VAT per additional analysis. Price: €4.99 excl. VAT per month per labeled project. Access to Vybel Pro opens in waves, in waitlist order.

4. Prices and payment

Prices are shown in euros excluding taxes; the applicable VAT is added according to the Customer’s country, and the amount including taxes is shown before the payment is confirmed. Payment is made by card through Stripe (Stripe Payments Europe, Ltd.). The Seller never collects or keeps any card data. The invoice is sent to the Customer by email.

5. Performance of the service

The analysis starts as soon as the payment is confirmed and takes from a few seconds to a few minutes depending on the size of the project. The report is available at its address as soon as the analysis ends; its link is emailed to the Customer with the invoice. Vybel reads the code without ever running it, and the copy of the code is deleted when the analysis ends.

6. Renewal and cancellation of Vybel Pro

The Vybel Pro subscription renews automatically every month. The Customer can cancel it at any time from their account; cancellation takes effect at the end of the current period, with no prorated refund for the period started.

7. Right of withdrawal

Under Article L. 221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for services fully performed before the end of the withdrawal period, nor for the supply of digital content not provided on a tangible medium, when their performance began with the prior express consent of the consumer, who waived the right of withdrawal.

Before paying, the Customer expressly asks for the analysis to be carried out at once and waives the right of withdrawal, by ticking the box provided for this purpose.

8. Failed analysis and refund

If a paid analysis cannot be completed, for instance because the repository became unreachable or after an error of the Service, the Customer can run it again at no cost from the payment page. Failing a completed analysis, the Seller refunds the Customer in full, on simple request to contact@onvaou.app.

9. Scope of the label

The Vybel grade results from public and deterministic rules, the Vybel Standard, applied automatically to the code of the project at the date and commit analyzed. It measures the quality of the code against this standard; it does not guarantee the absence of defects or security flaws, nor the compliance of the software, and does not replace an audit. The Vybel label is not a certification.

10. Availability of the service

The Seller strives to keep the Service available 24 hours a day, 7 days a week, without being able to guarantee it. Access may be suspended temporarily for maintenance, updates or in case of force majeure. In case of a prolonged interruption attributable to the Seller, a Vybel Pro subscriber may ask for an extension of their subscription for an equivalent period.

11. Liability

The Seller has an obligation of means. To the extent permitted by law, its liability is limited to direct and foreseeable damage, and capped at the amounts paid by the Customer over the last twelve months. The Seller cannot be held liable for decisions made by the Customer or by third parties on the basis of a Vybel grade.

12. Personal data

Personal data collected during a purchase or a subscription is processed in accordance with our privacy policy.

13. Customer service

For any question about a purchase or a subscription, the Customer can contact the Seller at contact@onvaou.app, or through the “Any questions?” bubble on every page.

14. Changes to these Terms

The Seller may change these Terms at any time; changes take effect as soon as they are published. Each purchase remains governed by the Terms accepted at payment, and ongoing subscriptions by those accepted at subscription, unless the Customer expressly agrees otherwise.

15. Governing law and disputes

These Terms are governed by French law; their French version prevails. In case of dispute, the Customer first contacts the Seller’s customer service to seek an amicable solution. Failing that, the competent courts for the Seller’s registered office shall have jurisdiction.

16. Pre-contractual information

In accordance with Articles L. 111-1 et seq. of the French Consumer Code, the Customer acknowledges having been informed, before any purchase, of the essential characteristics of the service, its price, the conditions of performance, cancellation and withdrawal, and the identity of the Seller.
